On October 18, 2016, First Capital Real Estate Trust Incorporated (the “Company”) announced that it had entered into a master agreement with Evergreen Communities, Inc. and La Jolla Pacific Investments LLC for a proposed property acquisition. The property acquisition is subject to a number of conditions, including the approval of the Company’s board of directors and the receipt of certain consents, and as such, there can be no assurance that a transaction will be consummated. A copy of the press release announcing the entry into the agreement is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K.
