EXPLANATORY NOTE
On December 8, 2014, Mr. Vladimir Morozov notified the Board of Directors (the “Board”) of Luxoft Holding, Inc (the “Company”), that he has decided to retire from the Board effective December 12, 2014. The Company thanks Mr. Morozov for his longtime service and support, and wishes him well in his retirement. After Mr. Morozov’s departure, the Board of Directors of the Company will consist of seven directors, including three independent directors.
