Represents an award of restricted stock units that will vest in a series of three successive equal installments on December 8, 2021, March 8, 2022, and upon the earlier of: (i) the date immediately preceding the date of the Issuer's 2022 annual stockholder meeting or (ii) June 8, 2022, subject to the Reporting Person's continued service through such date.
