Item 1.01 | Entry into a Material Definitive Agreement. |
On November 17, 2021, STORE Capital Corporation (the “Company”) completed its public offering of $375.0 million aggregate principal amount of 2.700% Senior Notes due 2031 (the “Notes”). The terms of the Notes are governed by an indenture, dated as of March 15, 2018, between the Company and Wilmington Trust Company, as trustee (the “Trustee”), as supplemented by the Supplemental Indenture No. 4, dated as of November 17, 2021, between the Company and the Trustee (the base indenture, as so supplemented, the “Indenture”).
The Notes will bear interest at the rate of 2.700% per year and will mature on December 1, 2031. Interest on the Notes will accrue from and including November 17, 2021 and will be paid semi-annually in arrears on June 1 and December 1 of each year, commencing on June 1, 2022. The Indenture also contains various restrictive covenants, including limitations on the Company’s ability to incur additional secured and unsecured indebtedness.
The Notes were issued pursuant to the Company’s shelf registration statement on Form S-3 (Registration No. 333- 253628), which became effective upon filing with the Securities and Exchange Commission on February 26, 2021, and a prospectus supplement dated November 9, 2021, as the same may be amended or supplemented.
