Item 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
Material Definitive Agreement for purposes of acquisition of outside business
On January 24, 2019 1stPoint Communications, LLC, wholly-owned subsidiary of Hammer Fiber Optics Holdings Corp, (the “Company”) entered into a purchase agreement with American Network, Inc (the “Seller”). The purchase price for one hundred percent (100%) of the Seller’s issued and outstanding stock is five hundred thousand (500,000) shares of the Company’s Common Stock from treasury stock. The shares of the Company’s Common Stock to be issued are restricted securities, as defined in Rule 144 of the Securities and Exchange Commission pursuant to the Securities Act of 1933, as amended.
The shares to be issued to the Sellers are intended to be comprised of shares currently held in treasury. The value of the shares issued to the Sellers will be based upon the closing price on the date the transaction is completed. All restricted shares are as defined under Rule 144 of Securities and Exchange Commission and are restricted for a period of twelve (12) months from the date of closing.
The American Network assets the Company will be acquiring through this agreement include a Competitive Local Exchange Carrier (CLEC) license in New York State along with a number of interconnection agreements, wholesale agreements and numbering assets that will aid the Company in its growth plans in the north eastern United States.

The shares to be issued under the Purchase Agreement will be issued in private placements in reliance upon the exemption from the registration requirements set forth in Section 4(a)(2) of the Securities Act of 1933, as amended, and Rule 506 of Regulation D promulgated thereunder.
