Explanation of Responses:

1. Restricted stock units convert into in an equal number of shares of common stock.

2. On May 31, 2013 the reporting person was granted 1307 restricted stock units. Due to the retirement of the reporting person from the Board of Directors, all unvested restricted stock units have become fully vested pursuant to the Restricted Stock Agreement under the Amended and Restated Stock Award and Incentive Plan.

3. On May 30, 2014 the reporting person was granted 990 restricted stock units. Due to the retirement of the reporting person from the Board of Directors, all unvested restricted stock units have become fully vested pursuant to the Restricted Stock Agreement under the Amended and Restated Stock Award and Incentive Plan.
