Explanation of Responses:

1. On June 29, 2015 Foresight Reserves LP made a pro rata distribution to its partners.

2. On June 29, 2015 Foresight Reserves LP distributed 18,933,491 common units to the reporting person in a pro rata distribution to its partners. The distribution was exempt under Section 16(a)(9) and Section 16(a)(13).

3. The reporting person disclaims beneficial ownership of securities of Cline Resource and Development Company except to the extent of his pecuniary interest therein, and the inclusion of these securities in this report shall not be deemed an admission of beneficial ownership of all of the reported securities for purposes of Section 16 or for any other purpose.
