1. Shares were acquired upon vesting of performance stock units awarded on March 19, 2013.

2. Represents shares sold to satisfy withholding tax requirements, pursuant to a Rule 10b5-1 trading plan.

3. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $6.22 to $6.73, inclusive.
