Explanation of Responses:

1. The security represents restricted stock units granted to the reporting person. Each restricted stock unit represents a contingent right to receive one share of common stock of the issuer.

2. On December 7, 2021, the issuer's compensation committee approved the grant of restricted stock units to each of the issuer's non-employee directors pursuant to the issuer's 2021 Equity Incentive Plan.

3. Of the shares underlying this restricted stock unit award, one-third will vest on August 26 of each of 2022, 2023 and 2024, subject to the reporting person's continued service with the issuer as of the applicable date.

4. Includes 25,000 shares received in a non-reportable pro rata distribution from LGL Systems Acquisition Holding Company, LLC (the "Sponsor"). In prior reports, the reporting person reported beneficial ownership of 3,470,375 shares of the issuer's common stock held by the Sponsor. The reporting person was previously a manager of the managing member of the Sponsor, which status ceased prior to the pro rata distribution to the Sponsor's members.
