Explanation of Responses:

1. Shares issued in lieu of a portion of the reporting person's bonus pursuant to the issuer's executive bonus plan.

2. Shares withheld by issuer to cover taxes in accordance with broker's procedures for share withholding transactions.

3. The shares subject to this option will vest according to the following schedule: 25% of the total number of shares vest on the first anniversary of the February 29, 2016 vesting start date and pro-rata monthly thereafter. This stock option will be completely vested on the fourth anniversary of the vesting start date.
