Item 5.03 | Amendment to Bylaws |
On September 17, 2015, the Board of Directors of CU Bancorp (the “Company”) voted to amend Article II, Section 13 of the Company’s Bylaws. The Company’s Bylaws were amended to state that notice of intention to make any nominations for the election of members to the Board of Directors of the Company may also be made to the Chief Executive Officer of the Company. The Bylaws had previously stated that notice of intention to make any nominations for the election of members to the Board of Directors of the Company shall be made to the President of the Company. The amendment to Article II, Section 13 of the Company’s Bylaws became effective on September 17, 2015.
