| 1. Phantom Units, originally granted by Company's Board of Directors on 02/23/2015, vested and automatically converted to Common Units. |
| 2. Phantom units granted to non-employee directors pursuant to the Company's 2011 Long-Term incentive Plan. Units will vest one year from the date of grant, contingent on continued service by the director. If the non-employee director's termination from the board is due to death or disability, director's service phantom units will automatically vest. If termination is due to any other reason, the non-employee director will receive a pro-rated award for the number of full months served as a non-employee director during the vesting period, with such pro-rated award vesting one year from the date of grant. The phantom units are settled upon vesting in common units (on a one-for-one basis). |
