Explanation of Responses:

1. In connection with the merger between the Issuer and iSatori, Inc. ("iSatori") on September 30, 2015, pursuant to which iSatori became a wholly owned subsidiary of the Issuer (the "Merger"), each iSatori shareholder received the right to exchange one share of iSatori common stock for 0.1732 shares of the Issuer's common stock. The shares and options reported herein represent shares and options to purchase shares of the Issuer's common stock issued to the Reporting Person as a result of the Merger.

2. Options were fully exercisable upon issuance by the Issuer.
