Explanation of Responses:

1. Represents restricted stock units ("RSUs"). The RSUs vest ratably over four years with 25% of the total number of RSUs vesting on February 20, 2019 and the remaining shares at a rate of 1/16th of the total number of RSUs on each Quarterly Vesting Date (February 20, May 20, August 20 and November 20 of each year), subject to continued employment on each vesting date.

2. The Option Shares vest as to 25% on the one-year anniversary of March 15, 2018 and the remaining shares shall vest ratably thereafter at 1/48th of the total number of Option Shares at the end of each one-month period, subject to continued employment on each vesting date.
