Item 5.07 Submission of Matters to a Vote of Security Holders.
The 2022 Annual Meeting of Stockholders (the “Annual Meeting”) of Natural Grocers by Vitamin Cottage, Inc. (the “Company”) was held virtually on March 2, 2022. A total of 21,288,853 shares of the Company’s common stock were represented at the Annual Meeting in person or by proxy, constituting 94.0% of the outstanding shares entitled to vote at the Annual Meeting.
At the Annual Meeting, the Company’s stockholders voted on the following matters, which are described in detail in the proxy statement filed by the Company with the Securities and Exchange Commission on January 20, 2022:
| 1. | To elect Elizabeth Isely and Richard Hallé as Class I directors, each to serve for a three-year term ending at the Company’s 2025 Annual Meeting of Stockholders (“Proposal No. 1”); and |
| 2. | To ratify the appointment of KPMG LLP (“KPMG”) as the Company’s independent registered public accounting firm for the fiscal year ending September 30, 2022 (“Proposal No. 2”). |
The Company’s stockholders elected the two director nominees recommended for election in Proposal No. 1. The votes cast on Proposal No. 1 were as follows:
