1. Award of shares of common stock pursuant to Issuer's 2014 Equity Incentive Plan, as amended. Such award is part of Reporting Person's bonus compensation for the period July 16, 2015 through September 30, 2015.

2. Grant effective as of December 15, 2015.

Remarks:

This Form 4A amends the Form 4 filed January 5, 2016 by omitting the grant made October 16, 2014 which was reported on a previous Form 4. Number of shares owned by Reporting Person has been reduced by 7,500 shares.
