Explanation of Responses:

1. The restricted stock units were awarded to Mr. Brooks under the 2018 Long Term Incentive Plan of Energy XXI Gulf Coast, Inc. (the "Company").

2. Each restricted stock unit represents a contingent right to receive one share of common stock, par value $0.01 per share, of the Company ("Common Stock").

3. These restricted stock units will vest in three substantially equal installments on each of the first three anniversaries of the June 7, 2018 grant date, provided that Mr. Brooks remains continuously employed by the Company on the applicable vesting date. The vesting schedule could be changed following a change of control of the Company.

4. The original filing inadvertently disclosed the incorrect number of restricted stock units awarded.
