Explanation of Responses:

1. Each share of Phantom Stock (stock units) is the economic equivalent of one share of the Company's common stock.

2. The shares of Phantom Stock (stock units) vest in three substantially equal installments. The first installment vested on January 30, 2018 and was payable, and was paid, solely in cash. The remaining installments vest on January 30, 2019 and January 30, 2020 and are payable solely in cash. See the Reporting Person's Form 4 filed on January 31, 2018.
