Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of STC Common Stock.

2. On March 9, 2018 and February 25, 2019, the reporting person was granted 3,461 and 3,483 restricted stock units, respectively, each vesting in three equal annual installments.

3. The restricted stock units will vest in three equal annual installments beginning February 7, 2021.

4. The stock options will vest in three installments as follows: 20% on February 7, 2021, 30% on February 7, 2022, and 50% on February 7, 2023.
