Item 5.07. Submission of Matters to a Vote of Security Holders.
On May 28, 2015, American Residential Properties, Inc. (the “Company”) held its 2015 Annual Meeting of Stockholders. The matters on which stockholders voted, in person or by proxy, were:

| (i) | Proposal One: to elect the directors of the Company to serve until its 2016 Annual Meeting of Stockholders and until their successors are duly elected and qualified; and |

| (ii) | Proposal Two: to ratify the appointment of Ernst & Young LLP to serve as the Company’s independent registered public accounting firm for the year ending December 31, 2015. |
All of the nominees were elected and the appointment of the independent registered public accounting firm was ratified. The results of the voting were as follows:
