Explanation of Responses:

1. Amounts reported in this Form 4 reflect the one-for-ten reverse stock split effected by the issuer on December 2, 2013.

2. Each restricted stock unit represents a contingent right to receive one share of common stock on the applicable vesting date. 1,500 restricted stock units vested on August 15, 2014. Vested shares will be issued to the reporting person as soon as practicable after each vesting date.

3. The original Form 4 filed on August 19, 2014 incorrectly reported the amount of securities beneficially owned following the reported transactions. This amended Form 4 states the correct amounts.

4. Each restricted stock unit represents a contingent right to receive one share of common stock on the applicable vesting date. 1,625 restricted stock units vested on August 16, 2014. Vested shares will be issued to the reporting person as soon as practicable after each vesting date.

5. On August 15, 2012, the reporting person was granted 6,000 restricted stock units, vesting in four equal annual installments beginning on August 15, 2013, the first anniversary of the date of the grant.

6. Following the vesting of the 1,500 restricted stock units reported hereby, the remaining 3,000 restricted stock units will vest in two equal annual installments ending on August 15, 2016.

7. On August 16, 2013, the reporting person was granted 6,500 restricted stock units, vesting in four equal annual installments beginning on August 16, 2014, the first anniversary of the date of the grant.

8. Following the vesting of the 1,625 restricted stock units reported hereby, the remaining 4,875 restricted stock units will vest in three equal annual installments ending on August 16, 2017.
