1. RSUs convert into Common Stock on a one-for-one basis.

2. Amount reflects correction of typographical error of amount shown in Form 4 filed on 3/17/2021. The amount shown on that form should have been 123,132.

3. The RSUs vested as to one-third on June 15, 2019 and the remaining two-thirds of the RSUs vested in four equal semi-annual installments thereafter through June 15, 2021.
