Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 14, 2019, Kermit R. Crawford was appointed by the Board of Directors as a Class II director of TransUnion, effective as of that date, to fill the current vacancy in the Board of Directors and to serve as a Class II director for the balance of the three-year term expiring at the 2020 annual meeting of stockholders and until his successor is elected. The Board has not yet determined Mr. Crawford’s committee assignments. Mr. Crawford will be compensated in accordance with TransUnion’s standard compensation policies and practices for the non-employee, independent members of the Board. There are no arrangements or understandings between Mr. Crawford and any other person pursuant to which they were appointed as a director. Mr. Crawford is not a party to any transaction that would require disclosure under Item 404(a) of Regulation S-K.
