Item 8.01 Other Events.
On September 23, 2021, CNH Industrial N.V. issued a press release announcing the intention of its indirect wholly owned subsidiary, CNH Industrial Capital Canada Ltd. (“CNH Industrial Capital Canada”), to commence a private placement offering of CNH Industrial Capital Canada’s notes to certain accredited investors in each of the provinces of Canada, subject to market and other conditions. The notes will be guaranteed by CNH Industrial Capital LLC, CNH Industrial Capital America LLC and New Holland Credit Company, LLC, each a wholly owned subsidiary of CNH Industrial N.V. The net proceeds of the offering are intended to be added to CNH Industrial Capital Canada’s general funds and used for working capital and other general corporate purposes, including, among other things, the purchase of receivables or other assets in the ordinary course of business. The net proceeds may also be applied to repay CNH Industrial Capital Canada’s indebtedness as it becomes due.
The Notes and the related guarantees are being offered in a private placement to certain non-U.S. persons in transactions outside of the United States in reliance on Regulation S under the Securities Act of 1933, as amended (the “Securities Act”). The Notes and related guarantees have not been, and will not be, registered under the Securities Act or the securities laws of any other jurisdiction and may only be offered or sold in the United States in transactions that are exempt from the registration requirements of the Securities Act and applicable state securities laws.
