On September 11, 2013, the Board of Directors (the “Board”) of China Information Technology, Inc. adopted the 2013 Equity Incentive Plan (the “Plan”) pursuant to which the Company may offer equity incentives to its directors, employees and consultants. A total of five million ordinary shares of the Company were reserved for issuance under the Plan. Such number of shares is subject to adjustment in the event of certain reorganizations, mergers, combinations, recapitalizations, stock splits, stock dividends, or other change in the corporate structure of the Company affecting the shares issuable under the Plan.
The Plan permits the grant of incentive stock options, nonstatutory stock options, restricted stock, restricted stock units, stock appreciation rights, performance units and performance shares as the administrator of the Plan may determine. All of the Company’s employees, directors and consultants are eligible to participate in the Plan and may receive various types of awards under the Plan.
The Plan will terminate five years following the date it was adopted by the Board, unless sooner terminated by the Board.
