On December 22, 2020, Taoping Inc. (the “Company”) held its 2020 Annual Meeting of Members (the “Annual Meeting”) at the Company’s headquarters in Shenzhen, China. Holders of the Company’s ordinary shares at the close of business on October 26, 2020 were entitled to vote at the Annual Meeting. The shareholders voted on three proposals at the Annual Meeting as follows:

● The shareholders reelected Messrs. Jianghuai Lin, Zhiqiang Zhao, Yunsen Huang, Yong Jiang and Remington C.H. Hu to the Board of Directors of the Company, each to serve until the next annual meeting of members of the Company or until such person resigns, is removed or otherwise leaves office;

● The shareholders ratified the appointment of UHY LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2020; and

● The shareholders approved an amendment to the Company’s Memorandum and Articles of Association to remove the requirement of holding an annual meeting of members every year.
