Item 8.01 — Other Events.
On July 30, 2015, SFX Entertainment, Inc. (the “Company”) issued a press release providing an update on certain matters related to the previously announced Agreement and Plan of Merger, dated as of May 26, 2015, by and among the Company, SFXE Merger Sub Inc., and SFXE Acquisition LLC. The press release also announced that the Company will report its 2015 second quarter financial results after the market closes on Monday, August 10, 2015 and that, in light of developments pertaining to the previously announced merger, the Company does not intend to host a conference call or webcast.
A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

The Company plans to file a proxy statement for the solicitation of votes of the Company’s stockholders to approve the merger.
