Explanation of Responses:

1. On December 29, 2020, the Issuer's Board approved the award of 8,000 restricted shares of the Issuer's common stock to the Reporting Person, pursuant to a Restricted Stock Award Agreement, under the Issuer's 2011 Plan. Sixty percent, or 4,800 shares, of the restricted stock vested immediately, on the date of the award, and the remaining forty percent, or 3,200 shares, will vest on two equal parts on December 29, 2021 and 2022, respectively, so long as the Reporting Person is fully employed by the Issuer on such vesting date; provided, however, that any unvested restricted stock will fully vest in the event of any change in control of the Issuer.

2. Total common stock includes 2,025,107 shares of the Issuer's common stock directly held by the Reporting Person as at the transaction date, and 5,007 shares of the Issuer's common stock held by members of the Reporting Person's immediate family as at the transaction date.
