1. The option becomes exercisable in three equal annual installments beginning on the first anniversary of the date of grant.

2. Phantom shares of Sempra Energy Common Stock acquired under Sempra Energy's deferred compensation plan. Total includes any additional shares accrued as dividend equivalents since the date of the last report of phantom shares. Phantom shares are payable in cash and may be transferred by the reporting person into an alternative investment account.

3. Conversion of Derivative Security is 1 for 1.
