Item 5.01 Changes in Control of Registrant.
On March 4, 2014, a change in control of Cannabis Capital Corp. (the "Company") occurred when Yong Ok Cho sold all of her 75,000,000 common shares in a private share purchase transaction to Castor Management Services Inc. (“Castor”). Ms. Cho sold her shares to Castor for cash consideration of $7,500. Castor now has voting control over 60% of the Company’s issued and outstanding common stock.
