The Company could not complete the filing of its Quarterly Report on Form 10-Q for the period ended August 31, 2016 due to a delay in obtaining and compiling information required to be included in the Company's Form 10-Q, which delay could not be eliminated by the Company without unreasonable effort and expense. In accordance with Rule 12b-25 of the Securities Exchange Act of 1934, as amended, the Company intends to file its Form 10-Q no later than the fifth calendar day following the prescribed due date. |

During the quarter ended August 31, 2016, the registrant continued its business operations, as disclosed in its Annual Report on Form 10-K, filed with the SEC on October 11, 2016. The registrant had $0 revenues in the quarter ended August 31, 2016; and, subject to final adjustment, the registrant expects to show a loss of $1,184,344 for the quarter, compared with a loss of $13,150 for the same quarter in the previous fiscal year.
Subject to final adjustment, the registrant’s balance sheet as of August 31, 2016, is expected to show total assets of $41,035 and total liabilities of $2,439,168, i.e., a shareholders’ deficit of $2,398,133.
