1. Represents an award of restricted shares under the issuer's 2020 Equity Incentive Plan, which will vest in three equal annual installments beginning on July 7, 2021.

2. Includes 7,500 unvested shares of restricted stock granted under the issuer's 2015 Equity Incentive Plan, 1,500 of which will vest annually beginning on May 1, 2021; and 12,500 unvested restricted shares granted under the issuer's 2020 Equity Incentive Plan, 4,167 of which will vest annually beginning on July 7, 2021.
