1. Represents an award of restricted shares under the Issuer's 2020 Equity Incentive Plan ("2020 Plan"), which will vest in one-third per year beginning on March 7, 2022.

2. Includes 9,000 unvested shares of restricted stock granted under the Issuer's 2015 Equity Incentive Plan ("2015 Plan"), one-third of which will vest per year beginning on July 7, 2021; 6,000 unvested shares of restricted stock granted under the 2015 Plan, one-third of which will vest per year beginning on December 7, 2021; 4,906 unvested shares of restricted stock granted under the 2020 Plan, one-third of which will vest per year beginning on September 7, 2021; and 5,880 unvested shares of restricted stock granted under the 2020 Plan, one-third of which will vest per year beginning on March 7, 2022.
