Explanation of Responses:

1. Credit of phantom stock units under L3Harris Technologies, Inc. 2019 Non-Employee Director Deferred Compensation Plan (the "Plan") pursuant to reporting person's prior election to defer non-employee director quarterly cash retainer amount. Each phantom stock unit is the economic equivalent of one share of the Issuer's common stock and is to be settled via one share of the Issuer's common stock upon the reporting person's separation from service from the Issuer.
