On October 22, 2019, in connection with the definitive proxy statement (the “Proxy Statement”) to solicit proxies to approve, among other things, the previously announced sale of substantially all of the assets of Industrial Property Trust Inc. (the “Company”) to affiliates of Prologis, L.P., the Company distributed the following e-mail to the broker-dealer home offices of financial advisors with clients invested in the Company at the time of the mailing of the Proxy Statement.

Subject: Industrial Property Trust Asset Sale Proxy Process to Begin
As our valued partner, we want to provide you with an update regarding the pending Asset Sale between Industrial Property Trust Inc. (IPT), an investment platform sponsored by Black Creek Group, and affiliates of Prologis, Inc. (NYSE:PLD).
IPT has filed its definitive proxy statement and will begin directly communicating with stockholders soon to meet the requirement of obtaining approval of stockholders holding a majority of IPT’s outstanding common stock at IPT’s Annual Meeting, which is scheduled for December 11, 2019. Stockholders will be receiving communications that include instructions on how to cast their proxy vote as early as next week.
IPT’s board of directors believes the sale of IPT’s wholly-owned assets is a positive outcome for stockholders as it provides them with a timely return that realizes the value of the wholly-owned assets in the portfolio. As such, it is the board of directors’ recommendation to APPROVE the transaction.
Subject to the satisfaction of applicable closing conditions (including the receipt of the requisite approval of IPT’s stockholders), the transaction is anticipated to close in the first quarter of 2020.
We will be reaching out directly to advisors to further educate them on the Asset Sale and proxy process and will be hosting an educational IPT webinar on October 29, 2019 at 1 pm PT/2 pm MT/3 pm CT/4 pm ET. Additionally, we will be urging advisors to reach out to their clients to encourage them to vote early in the process to avoid getting repeat communications from us regarding the proxy vote.
