Explanation of Responses:

1. The stock options were granted on February 20, 2017, and vested and became exercisable in four equal annual installments on the first four anniversaries of the grant date. The remaining 14,226 unvested stock options that were granted on February 20, 2017, have been forfeited.

2. Each unit is the economic equivalent of one share of the Company's common stock. The restricted stock units were granted on July 26, 2017. The remaining 16,037 restricted stock units have been forfeited.

3. The reporting person is reporting the sale of shares of common stock to satisfy the reporting person's tax withholding obligations in connection with the vesting and delivery of the shares.

4. The price reported in Table I, Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $49.8258-$49.835, inclusive. The reporting person undertakes to provide ServiceMaster, any security holder of ServiceMaster, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in this Form 4.

5. The price reported in Table I, Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $49.50-$49.79, inclusive.
