Explanation of Responses:

1. The reporting person disposed of 11,000 common units of CVR Refining, LP ("CVRR"), in an exchange offer launched by CVR Energy, Inc. ("CVI"), an affiliate of CVRR, on May 29, 2018. The reporting person received 6,968 shares of CVI common stock in the exchange offer. Such amount was determined pursuant to the offer consideration described in the offer to exchange on Schedule TO filed with the SEC by CVI on May 29, 2018, as amended. A Form 4 to report the disposition of units was not filed timely by the reporting person due to administrative error.
