Explanation of Responses:

1. The restricted stock units ("RSUs") represent the economic equivalent of one share of common stock, par value $0.01 per share, of Talos Energy Inc., a Delaware corporation ("Common Stock"). Pursuant to the terms of the award agreement, 60% of the RSUs were settled in Common Stock and 40% of the RSUs were settled in cash.

2. The RSUs represent a contingent right to receive 60% of such RSUs in shares of Common Stock and 40% of such RSUs in cash.

3. The RSUs vest on March 5, 2021. Vested shares and cash will be delivered to the reporting person following the vesting date.
