1. On June 18, 2021, the reporting person purchased 47,619 shares of common stock as part of a Private Placement Offering of the Company at $21.00 per share.

2. Includes (i) 23,333 shares of restricted stock that will vest on January 1, 2022, (ii) 37,500 shares of restricted stock that will vest on January 6, 2022, and (iii) 75,000 shares of restricted stock that will vest on January 1, 2023.

3. Half of the Stock Options vested on January 6, 2021 and the remainder vest on January 6, 2022.
