Explanation of Responses:

1. Represents an award of 18,208 restricted stock units ("RSUs") which will vest on the first anniversary of the grant date. The Reporting Person has elected to defer the issuance of the shares of the Issuer's Class A Common Stock underlying the RSUs until the Reporting Person's termination of service as a director of the Issuer. The RSUs will settle in shares of the Issuer's Class A Common Stock upon such termination of service.
