Explanation of Responses:

1. The option vests as follows: (a) 360,000 shares underlying the option vest and become exercisable in 48 consecutive monthly installments on the 28th day of each month, with the first installment on October 28, 2015; (b) 180,000 of the shares underlying the option shall vest and become exercisable, if at all, upon the achievement of certain performance criteria; and (c) 180,000 shares underlying the option shall vest and become exercisable, if at all, upon the achievement of certain other performance criteria.
