| Item 8.01 | Other Events. |
The Company’s Class B common stock has automatically been converted into the Company’s Class A common stock on a share-for-share basis as a result of the occurrence of the Conversion Event. The Conversion Event was defined as the later of (i) December 31, 2014 and (ii) the date on which the Company’s South Kent Project achieved commercial operation. The South Kent Project had previously achieved commercial operation on March 28, 2014.
As of January 2, 2015, the Company’s Class A common stock outstanding had increased to 62,062,841 shares.
