1. Consists entirely of deferred stock units ("DSUs") which vested on the grant date. Each DSU entitles the holder to receive one share of the issuer's common stock upon departure from the issuer.

2. Includes 17,704 DSUs.

3. The reporting person disclaims beneficial ownership of these shares except to the extent of his pecuniary interest.

4. Half of the option vests on November 30, 2021 and the remainder vests on May 31, 2022.
