2. Each restricted stock unit represents a contingent right to receive one share of the issuer's common stock.

3. On March 12, 2015, the reporting person was granted 27,534 restricted stock units. The restricted stock units vest in three equal annual installments beginning on the first anniversary of the grant date. Vested shares will be delivered on or as soon as reasonably practical following the applicable date of vesting, but in any event within sixty (60) days of the applicable date of vesting.
