Shares of common stock withheld in payment of reporting person's tax withholding triggered by vesting of 16,800 shares of restricted stock on May 6, 2016 that were originally granted to the Reporting Person on May 6, 2013. The shares of restricted stocks vested in three annual installments on the anniversary of the grant date.

2. The mean of the highest and lowest prices of CST Brands, Inc. common stock on May 6, 2016.

3. Shares of common stock withheld in payment of reporting person's tax withholding triggered by vesting of 20,000 shares of restricted stock on May 6, 2016 that were originally granted to the Reporting Person on May 6, 2013. The shares of restricted stocks vested in one installment on the third anniversary of the grant date.
