Explanation of Responses:

1. Shares of common stock acquired upon vesting of restricted stock units.

2. This balance includes 85 shares held in a CST Brand, Inc. savings plan, 242 dividend reinvestment shares and 975 shares that were acquired pursuant to the CST Brands, Inc. Employee Stock Purchase Plan.

3. Shares of common stock withheld in payment of the reporting persons' tax withholding triggered by vesting.

4. The mean of the highest and lowest prices of CST Brands, Inc. common stock on March 8, 2017.

5. Each restricted stock unit represents a contingent right to receive one share of the issuer's common stock.

6. On March 8, 2016, the reporting person was granted 25,248 restricted stock units. The restricted stock units vest in three equal annual installments beginning on the first anniversary of the grant date. Vested shares will be delivered on or as soon as reasonably practical following the applicable date of vesting, but in any event within sixty (60) days of the applicable date of vesting.
