The Company has revised the Registration Statement in response to the Staff’s comments and is transmitting via EDGAR, concurrently with this letter, an amended version of the Registration Statement (“Amendment No. 1”) which reflects these revisions and generally updates certain financial, compensation and other information.

The Company’s sales and marketing employees and activities are fully independent from Leucadia or any of Leucadia’s other operations. The Company also has its own administrative staff that performs human resources, property management and other activities. |
