Explanation of Responses:

1. The transactions reported in this Form 4 were effected pursuant to a pre-established Rule 10b5-1 trading plan adopted on February 9, 2023, intended to comply with the prior version of Rule 10b5-1(c).

2. Represents the weighted average sale price. These shares were sold in multiple transactions at prices ranging from $52.95 to $53.52, inclusive. The reporting person undertakes to provide upon request by the U.S.Securities and Exchange Commission staff, the issuer or a security holder of the issuer, full information regarding the number of shares sold at each separate price.

3. Grant to the reporting person of an option to purchase a specified number of shares of common stock vesting in four equal annual installments beginning on February 23, 2016, the first anniversary of the date of grant.

4. Grant to the reporting person of an option to purchase a specified number of shares of common stock vesting in four equal annual installments beginning on February 24, 2015, the first anniversary of the date of grant.
