On October 31, 2014, News Corporation (“News Corp”) issued a joint press release with Move, Inc. (“Move”) announcing the expiration of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, in connection with the previously announced merger agreement between Move, News Corp and Magpie Merger Sub, Inc. (“Merger Sub”). A copy of the joint press release announcing the expiration of the waiting period is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
