Item 8.01 Other Events.

On September 16, 2015, News Corporation (the "Company") announced that it had agreed to acquire Unruly Holdings Limited, a leading global ad platform. The acquisition, which is subject to customary closing conditions, is expected to be completed by the end of September 2015. A copy of the Company's press release is attached as Exhibit 99.1 to this Form 8-K and incorporated herein by reference.
